Master User Agreement

OpenRide is a technology platform that facilitates the matching of independent riders and independent drivers. OpenRide does not provide transportation services, does not operate vehicles, and does not employ drivers. Any transportation services are provided solely by independent drivers, and any agreement for transportation exists exclusively between the rider and the driver.

You must be at least 18 years old to use OpenRide. By using the platform, you represent that you meet this requirement.

3.1 Drivers

Drivers are independent third parties and are not employees, agents, partners, or contractors of OpenRide. Drivers control their own schedules, accept or decline ride requests at their discretion, and are solely responsible for how services are provided.

3.2 Riders

Riders engage drivers directly. OpenRide does not supervise, direct, or control driver behavior or ride execution.

Drivers are solely responsible for:

• Holding a valid driver's license
• Maintaining required insurance coverage
• Vehicle ownership, safety, and maintenance
• Compliance with all applicable laws and regulations

OpenRide makes no representations regarding driver qualifications or background.

OpenRide charges a nonrefundable matchmaking fee equal to ten percent of the agreed ride price. The fee is earned once a rider and driver are matched, regardless of ride completion. OpenRide is not responsible for fare disputes between users.

You acknowledge that ridesharing involves inherent risks, including bodily injury, death, theft, property damage, and misconduct by other users. You voluntarily assume all such risks arising from use of the platform or participation in rides.

To the maximum extent permitted, you waive and release OpenRide from all claims arising from your use of the platform or participation in any ride, including claims based on ordinary negligence. This release applies to known and unknown claims and survives account termination.

OpenRide shall not be liable for indirect, incidental, special, consequential, or punitive damages. OpenRide's total liability for any claim shall not exceed the total fees paid to OpenRide by the user in the twelve months preceding the claim.

You agree to defend, indemnify, and hold harmless OpenRide from any claims, damages, losses, liabilities, costs, or expenses arising from:

• Your use of the platform
• Your participation in a ride
• Your violation of this Agreement
• Your violation of applicable laws

10.1 Data Collected

OpenRide collects only data necessary to operate the platform, including:

• Name, email, phone number
• Location data during active matching
• Payment and transaction metadata
• Platform usage and device data

10.2 Use of Data

Data is used solely to:

• Facilitate rider and driver matching
• Enable platform communication
• Process platform fees
• Operate and improve the platform

10.3 No Sale or External Use

OpenRide does not sell, rent, license, or trade user data. User data is not used outside the OpenRide platform for advertising, marketing, or unrelated profiling.

10.4 Limited Sharing

Data may be shared only:

• Between riders and drivers as required to complete a match
• With payment processors for transaction processing
• With infrastructure providers under confidentiality obligations

10.5 Data Retention

Data is retained only as long as reasonably necessary for platform operation, dispute resolution, and internal recordkeeping. Aggregated or anonymized data may be retained indefinitely.

10.6 Security Disclaimer

No digital system is completely secure. Users acknowledge and accept the inherent risks of electronic data transmission and storage.

OpenRide does not conduct background checks or verify driving history, insurance, or identity beyond basic account information. Any safety features or reporting tools are provided for informational purposes only and do not create a duty to monitor, investigate, or intervene.

All disputes arising out of or related to this Agreement or use of the platform shall be resolved through binding arbitration on an individual basis. You waive the right to a jury trial and participation in class actions. Any claim must be brought within one year of the event giving rise to the claim.

OpenRide may suspend or terminate any account at any time, with or without notice, and without liability.

OpenRide may modify this Agreement at any time. Continued use of the platform after modifications constitutes acceptance of the updated Agreement.

This Agreement constitutes the entire agreement between you and OpenRide regarding use of the platform and supersedes all prior agreements or understandings.
